Terms and Conditions
These terms and conditions are designed to make working with us as easy and straightforward as possible.
Our quotation is made on a fixed-fee basis. As the Customer, please confirm that:
- you have read, understood and agreed to these terms and conditions
- you agree to the timescales for completion of the project
- you agree to pay the fees, as set out in emails with Bright Words
By agreeing to this quotation, you are authorising Bright Words to start work on the Project outlined in the brief.
Timescale and deadlines
The Parties will agree timescales for completion of the Project at the outset. Bright Words will endeavour to deliver the Project on time. However, if we are unable to meet these deadlines due to reasons beyond our control (e.g. illness), we shall not be liable for any loss or damages because of any delay. In this unlikely event, Bright Words will inform the Customer as early as possible and agree revised timescales for completion.
Customer satisfaction is very important to Bright Words. We strive to meet high editorial standards at all times. However, full responsibility for all published Materials remains with the Customer. Bright Words does not accept responsibility or liability, of any kind, for loss or damage (whether material, financial, commercial, reputational or otherwise) incurred due to publication of the Materials.
The Customer is responsible for ensuring that all necessary rights and consents required for reproduction of the Materials are obtained, whether in relation to the use of names, people, trademarks, copyright or otherwise. In the event of any dispute over infringement of intellectual property rights relating to the Materials, the Customer agrees to indemnify Bright Words against any claims for loss, compensation or damages. The Customer accept full responsibility for the authenticity of research materials and citations supplied to Bright Words. The Customer also agrees to indemnify Bright Words against any claim arising due to use of such material (if it is later found to contain factual or statistical inaccuracies).
The Parties will agree a fee at the outset. All payments must be made within 14 days of the date shown on the invoice. The invoice will be submitted to the Customer when the final draft is submitted by Bright Words.
Bright Words retains copyright of any Materials supplied until full payment has been made, at which time the copyright is automatically assigned to the Customer. Bright Words reserves the right to use excerpts of the Project on the company website (brightwords.co.uk) and in written advertising.
In the event of any dispute arising under this agreement, the Parties agree to negotiate in good faith to resolve the dispute prior to commencing any legal proceedings.
The Parties agree that this contract is governed by the laws of England and Wales and the Parties submit to the exclusive jurisdiction of the courts of England and Wales.
- Bright Words means Miss Karen Bright of Beechwood House, Old Blandford Road, Salisbury, Wiltshire, trading as Bright Words
- Customer means [your company].
- Parties means both the Customer and Bright Words together
- Project means the services to be provided by Bright Words to the Customer as outlined in the brief document
Materials means the documents created by Bright Words in relation to the Project.
